Breezy Financial is not a lender.
Breezy Financial is an independent loan-connecting service. We do not make loans, provide credit, make credit decisions or determine whether you qualify for a loan. Instead, we may connect consumers seeking loans with lenders, lending partners and/or third-party partners that may be able to provide or facilitate loan options.

We may:

• Refer you directly to a lender
• Refer you to a third-party partner that may subsequently refer you to a lender
• Share your application information with more than one lender and/or third-party partner

If we are unable to connect you with a lender, you may be directed to a third-party website that advertises products or services.

The Company authorizes you to access and use the Site and display its content solely for your personal, non-commercial use.

Except as expressly permitted by these Terms or with our prior written permission, you may not:

• Reproduce or duplicate Site content
• Copy, sell or resell Site content or access to the Site
• Exploit the Site or its content for commercial purposes
• Modify Site content
• Create derivative works from Site content
• Publicly display or distribute Site content

By using the Site, you acknowledge that you have read and understood our Privacy Policy and agree to its applicable terms.

To use the Services, you must complete and submit an application (the "Application"). Your Application may require personal, employment, financial and banking information, including:

• Full name
• Address
• Telephone number
• Email address
• Social Security number
• Driver's license information
• Employer information
• Employment information
• Income information
• Banking information
• Other information requested during the application process

You are responsible for providing information that is accurate and complete.

Submitting an Application does not guarantee that you will qualify for a loan, receive an offer or be approved by a lender. Eligibility requirements vary by lender, state and individual circumstances.

By using the Services, you authorize us to transmit your Application information to one or more lenders and/or third-party partners. You also authorize lenders and/or third-party partners to verify information contained in your Application, including by performing a credit check.

Lenders and/or third-party partners to whom we provide your Application information may retain that information in accordance with their own policies and applicable law, whether or not you qualify for a loan or ultimately receive one.

Once your information has been transmitted to a lender or third-party partner, we may not control how that party stores, uses or processes your information.

To provide the Services, we may transmit your Application information to lenders, lending partners and/or third-party partners. Your information may be provided to more than one party.

A third-party partner may also receive your information and subsequently connect you with a lender or another service provider. You acknowledge that your information may therefore be transmitted through an intermediary or aggregator rather than directly to a lender.

By submitting an Application, you authorize these transmissions as described in these Terms, our Privacy Policy and any applicable disclosures or authorizations presented during the application process.

Breezy Financial does not guarantee that you will receive a loan or loan offer. We do not guarantee:

• Approval
• Loan amount
• APR
• Interest rate
• Fees
• Repayment schedule
• Funding time
• Loan availability
• Lender availability
• Any particular loan terms

The lender or lending partner makes the final decision regarding your Application. If you receive a loan offer, carefully review the complete loan agreement and disclosures before accepting the offer.

Use of the Services

We do not charge you a fee for using the Services. Instead, Breezy Financial may receive compensation from lenders and/or third-party partners for referral or connection services.

The receipt of compensation does not guarantee that you will receive a loan, be connected with a particular lender, or receive any particular loan product, rate or term. Any fees, interest, APR or other costs associated with a loan are determined by the applicable lender.

Breezy Financial is not a party to any loan agreement between you and a lender. All rights and obligations arising under a loan agreement are solely between you and the applicable lender.

Breezy Financial does not endorse, guarantee or assume responsibility for any lender, lending partner, third-party partner, product or service offered through the Site or Services.

You are responsible for using your own judgment when deciding whether a loan, lender, product, service, rate or term is appropriate for your needs and financial circumstances.

Lenders and/or lending partners are solely responsible for the loan request and any resulting loan transaction, including applicable disclosures and compliance with applicable laws and regulations.

For questions concerning a specific loan request, loan offer, loan agreement, payment, APR, fee or repayment schedule, you should contact the applicable lender or lending partner directly.

The Site may contain links to or redirect you to websites operated by third parties. These may include:

• Lenders
• Lending partners
• Third-party partners
• Advertisers
• Other service providers

Those websites are independently operated and may have their own terms, privacy policies and other agreements. Breezy Financial has not necessarily reviewed all websites linked to or accessible through the Site and does not control or assume responsibility for their content, policies, products or services.

Your use of third-party websites is at your own risk.

All content appearing on the Site may be protected by copyright, trademark and other intellectual property laws of the United States and other jurisdictions.

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, publicly display, create derivative works from or otherwise exploit Site content without appropriate permission.

Breezy Financial does not represent or warrant that your use of materials displayed on the Site will not infringe the rights of third parties.

We use reasonable efforts to provide accurate and up-to-date information on the Site. However, we do not warrant or represent that information on the Site is:

• Complete
• Accurate
• Current
• Error-free
• Appropriate for your particular circumstances

Breezy Financial disclaims liability to the extent permitted by applicable law for inaccuracies, omissions or errors in Site content.

We use reasonable efforts to safeguard the security of the Site. However, no website, electronic transmission or security system can be guaranteed to be completely secure.

We cannot guarantee that unauthorized alterations to the content or functionality of the Site will never occur. To the extent permitted by applicable law, Breezy Financial assumes no liability or responsibility for unauthorized alterations to the Site.

Neither Breezy Financial nor any other party involved in creating, producing or delivering the Site makes representations regarding the suitability of the Site or its content for any particular purpose. We do not guarantee that your use of the Site will be uninterrupted or error-free.

This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Some jurisdictions may not permit certain exclusions of implied warranties. Accordingly, some of these exclusions may not apply to you.

Your use of and browsing of the Site are at your own risk. Neither Breezy Financial nor any other party involved in creating, producing or delivering the Site shall be responsible or liable for damage to, or viruses that may infect, your computer equipment or other property resulting from your access to, use of or browsing of the Site or your downloading of materials, data, text, images, video or audio from the Site.

Nothing in these Terms is intended to limit any rights or remedies that cannot legally be limited under applicable law.

You may not use the Site to post or transmit material that is unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic or profane. You may not post or transmit material that could:

• Constitute or encourage criminal conduct
• Give rise to civil liability
• Violate any applicable law
• Otherwise interfere with the rights of others

Breezy Financial reserves the right to remove prohibited content and to cooperate with law enforcement authorities or court orders requesting or directing disclosure of information concerning users or content.

The Site may contain advertisements or promotions from third parties.

Any correspondence, business dealings, transactions, promotions, payments, delivery of goods or services, warranties or representations relating to advertisers are solely between you and the applicable advertiser.

Breezy Financial is not responsible or liable for losses or damages arising from such dealings or from the presence of third-party advertising on the Site.

Breezy Financial may provide notices to users through:

• A general notice on the Site
• Electronic mail sent to an email address associated with your records
• Written communication sent by first-class mail to an address associated with your records

You may not use any robot, spider, web crawler, screen scraper, automated query program or other automated device or manual process to monitor or copy Site pages or content without our prior written permission.

You may not use any device, software or routine intended to interfere with or attempt to interfere with the proper operation of the Site. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure.

You may not copy, reproduce, alter, modify, create derivative works from or publicly display Site content without prior written permission from Breezy Financial or the appropriate third party.

We may modify these Terms or our Privacy Policy from time to time by posting an updated version on the Site. We encourage you to review these Terms periodically.

Your continued access to or use of the Site or Services following the posting of updated Terms may constitute acceptance of the updated Terms to the extent permitted by applicable law.

If you do not agree to updated Terms, you should stop using the Site and Services.

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms, disclosures or agreements expressly incorporated by reference, constitute the entire agreement between you and Breezy Financial concerning your use of the Site and Services, except to the extent otherwise expressly provided.

Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall be severable to the extent permitted by law and shall not affect the validity or enforceability of the remaining provisions.

No Waiver

Our failure to act with respect to a breach by you or another person does not waive our right to act with respect to subsequent or similar breaches.

If you have a dispute concerning any aspect of these Terms, the Site or the Services, the current Terms provide for resolution through arbitration before the American Arbitration Association ("AAA"), subject to the provisions below.

Consumer disputes

If you have a dispute concerning these Terms, the Site or the Services, the current Terms provide that the dispute will be submitted to arbitration before the AAA in the county where you live by filing a Demand for Arbitration. The arbitrator will have authority to resolve disputes, including disputes concerning whether all or part of these Terms are enforceable.

Disputes involving Breezy Financial

The current Terms provide for disputes involving Breezy Financial to be submitted to arbitration before the AAA in the state of Delaware. If either party files for arbitration, the arbitration will be conducted in accordance with the then-current applicable AAA rules identified in the agreement.

Arbitration fees

Each party will pay its own AAA filing, administration and arbitrator fees unless the arbitrator determines that a claim is frivolous or brought for an improper purpose, in which case the party submitting the claim may be responsible for the applicable fees as provided in the agreement.

Claims of $10,000 or less

For claims brought by you of $10,000 or less, the current Terms provide that you may choose whether arbitration proceeds:

• In person
• By telephone
• Based solely on written submissions

The arbitrator may award individual or equitable relief, including injunctive relief. Any arbitration award will be final and conclusive to the parties and may be entered in a court of competent jurisdiction. The parties agree that arbitration proceedings and results will be kept confidential, subject to applicable law.

Injunctive relief

Nothing in the arbitration provision is intended to prevent a party from seeking injunctive relief in a court of competent jurisdiction to protect its rights pending an arbitration outcome, as provided in the agreement.

Jury trial and class-action waiver
